Terms of use
1. Who may use the Services
You must be able to form a binding contract in your jurisdiction and meet any minimum age we specify for a given product or region. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. Changes
We may modify the Services or these Terms. We will post updated Terms on this page and update the “Last updated” date. Material changes may require additional notice where required by law. Continued use after changes constitutes acceptance unless applicable law requires otherwise.
3. Accounts and security
Some features require an account. You agree to provide accurate information and keep credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use.
4. Products, software, and hardware
Descriptions, images, specifications, and availability on the Site are for general information and may change before commercial release. Separate terms may apply to purchases of hardware, subscriptions, or app distribution platforms (for example Apple App Store or Google Play). In case of conflict, the more specific terms control for that transaction.
5. Acceptable use
You agree not to misuse the Services, including by: violating law; infringing intellectual property or privacy rights; attempting to gain unauthorized access; interfering with operation; reverse engineering except where permitted by law; using the Services to harass or harm others; or using our IoT products in a manner that violates safety instructions or applicable regulations.
6. Intellectual property
The Services, including software, text, graphics, logos, and trademarks, are owned by Rhythmic Awakening or our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for personal or internal business purposes. No other rights are granted by implication.
7. User content and feedback
If you submit content or feedback, you grant us a non-exclusive license to use it to operate and improve the Services without obligation to you, except where we agree otherwise in writing or where prohibited by law.
8. Third-party services
The Services may link to or integrate third-party sites or services. We are not responsible for third-party terms or practices. Your use of third-party offerings is at your own risk.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RHYTHMIC AWAKENING AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE PROHIBITED BY LAW.
11. Indemnity
You will defend and indemnify Rhythmic Awakening against claims arising from your use of the Services or violation of these Terms, except to the extent caused by our willful misconduct.
12. Governing law and disputes
These Terms are governed by the laws of the State in which Rhythmic Awakening LLC is organized, without regard to conflict-of-law rules, except where consumer protection laws of your jurisdiction require otherwise. Courts in that State have exclusive jurisdiction for disputes, unless applicable law requires a different forum for consumers.
13. General
These Terms constitute the entire agreement regarding the subject matter here. If a provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
